Executive Liability and Indemnification Policy

This policy covers losses up to $10,000,000 per year due to claims from wrongful acts committed, attempted or allegedly committed by "the Board of Regents, Officers, Faculty and Administrative and Professional Staff who are exempt from the Federal Fair Labor Standards Act."

Deductibles are:

• Insuring Clause 1 (without indemnification) - $0 -
• Insuring Clause 2 (with indemnification) - $100,000 each person and $300,000 all insured persons.

This policy is endorsed to and around the provisions of Section 104 of the Civil Practice and Remedies Code. The policy excludes coverage for the following:

1. Claims for bodily injury, sickness, death and property damage;
2. Claims for libel, slander, false arrest, invasion of privacy (except 1983 actions), assault and battery;
3. Claims for active and deliberate dishonesty;
4. Claims for unlawfully obtaining a personal profit or advantage;
5. Claims brought by any insured person, except those for wrongful termination or those involving terms and conditions of employment;
6. Claims involving medical malpractice, and;
7. Claims alleging breach of contracts other than those involving employment.

11. IRS fines and penalties, $5 million sub-limit
12. Employee Practice Liability

The resulting coverage is primarily applicable to actions involving either the terms and conditions of employment or constitutionally protected rights, privileges and immunities.
